Cashback Terms & Conditions

These Cashback Terms & Conditions (“Terms”) govern your participation in the Brighty Cashback Programme (the “Programme”) operated by Wireflexion sp. z o.o., a private limited liability company incorporated in the Republic of Poland (KRS 0001139876, NIP 5273140122, registered address Rondo Ignacego Daszyńskiego 2B / W2410, 00-843 Warsaw, Poland) (“Brighty”, “we”, “us”, “our”).
By accessing or using the Programme, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue participation in the Programme.
These Terms apply in addition to our General Terms of Use, Privacy Policy, and AML Policy, all of which form an integral part of the legal framework governing your Brighty account.
1. Eligibility & Programme Access
1.1 The Programme is available only to users who:

hold an active Brighty account;

have successfully completed all required KYC/AML checks;

have a valid Brighty card or eligible payment instrument;
-
reside in a jurisdiction where the Programme is legally permitted.
1.2 Brighty may, at its discretion, restrict access to the Programme based on:

risk scoring,
-
compliance requirements,
-
jurisdictional limitations,
-
merchant network availability.
1.3 The Programme is intended for personal use only and may not be used for business, commercial, or bulk purchasing activities.
2. Earning Cashback
2.1 Cashback is earned when you make an eligible purchase at a participating merchant using an approved Brighty payment method.
2.2 Cashback rates vary by merchant, category, country, and promotional period. The rate applicable to each transaction is displayed in the Brighty app or website.
2.3 Cashback will be credited to your “Cashback Balance” in fiat or digital assets, depending on the Programme rules.
2.4 Cashback is not guaranteed and may be declined if the merchant or payment processor does not confirm the transaction as eligible.
2.5 Cashback is earned on must purchases, except for transactions that fall under excluded categories. These include money transfers, financial services, gambling, tax payments and other restricted transaction types.
You will not earn cashback on the following excluded Merchant Category Codes (MCCs):

Additionally, cashback rewards are not applicable to Curve cards or any equivalent services.
3. Qualifying Transactions
3.1 Cashback is awarded only for Eligible Transactions, meaning purchases that:

are successfully authorised and settled;
-
are not refunded or reversed;
-
fall within supported merchant categories;
-
meet the conditions of the user’s plan and reward tier.
3.2 Excluded transactions (not eligible for cashback) may include, without limitation:

card-to-card transfers;
-
ATM withdrawals;
-
gambling and betting transactions;
-
money transfers, wallet top-ups, or quasi-cash purchases;
-
cryptocurrency purchases unless explicitly allowed.
3.3 Cashback is calculated based on the final settled amount of a transaction.
4. Reward Box & Reward Balance
4.1 Cashback rewards are credited to a dedicated internal reward balance and may be transferred to the Reward Box.
4.2 The Reward Box is not a bank account or e-money account. Cashback rewards:

do not constitute deposits;

do not constitute savings until not claimed into Reward Box.
4.3 Users may redeem eligible Reward Box balances in the formats displayed in the Brighty app, which may include:

stablecoin payouts (e.g. USDC);
-
other reward forms provided by Brighty.
4.4 Redemption may be subject to:
-
minimum thresholds;
-
daily/monthly limits;
-
network or exchange fees.
5. Cashback Processing Times
5.1 Most cashback is credited within 5 business days after the transaction is confirmed.
5.2 Certain merchants may require up to 90 days or longer for confirmation due to settlement cycles, returns windows, or external verification.
5.3 Brighty is not liable for delays caused by merchants, payment processors, or acquirers.
6. Third-Party Merchant Conditions
6.1 Merchant terms, eligibility rules, and exclusions apply to all cashback transactions.
6.2 Merchants may change their cashback conditions at any time without prior notice.
6.3 Brighty does not guarantee merchant participation, and cashback availability may be withdrawn, paused, or modified at any time.
7. Fair Usage & Misuse Policy
7.1 To protect Platform integrity, Brighty enforces a Fair Usage Policy.
7.2 Misuse includes, without limitation:

artificial or fabricated transactions;
-
self-refunds or refund abuse;
-
circular transactions;
-
excessive usage beyond normal personal behaviour;
-
attempts to game or manipulate cashback systems.
7.3 Brighty may suspend or terminate Programme access or even the Customer’s Account in the event of misuse, attempted fraud, or unusual activity.
8. Refunds, Chargebacks & Adjustments
8.1 If a transaction is refunded or reversed, Brighty will reverse or deduct the corresponding cashback from your Cashback Balance.
8.2 If insufficient balance exists, Brighty may apply the deduction to future cashback.
8.3 Cashback will not be granted on:
- cancelled or disputed transactions;
- fraudulent or unauthorised transactions;
- transactions processed outside supported merchant categories.
9. Modifications, Suspension & Termination
9.1 Brighty may modify, suspend, or terminate the Programme for operational, commercial, or regulatory reasons.
9.2 Material changes will be communicated with at least 14 days’ notice where legally required.
9.3 Continued use of the Programme following changes constitutes acceptance of updated Terms.
10. AML / CTF & Regulatory Compliance
10.1 Participation in the Programme is subject at all times to Brighty’s AML/CTF policies and monitoring requirements.
10.2 Brighty may:
- freeze cashback rewards;
- delay payouts;
- request additional information;
- suspend or terminate Programme access;
- suspend or terminate Customer’s Account.
11. Data Protection & GDPR Compliance
11.1 Brighty processes personal data required to operate the Programme, including:

transaction information;
-
merchant category codes;
-
card identifiers;
-
cashback eligibility data.
11.2 Processing is carried out strictly under:
-
GDPR,
-
Polish Personal Data Protection Act,
-
Brighty’s Privacy Policy.
11.3 Brighty may share necessary transaction data with third-party service providers, card schemes, or merchants solely for cashback verification or Programme operation.
11.4 Brighty does not sell user data or use cashback data for profiling unrelated to the Programme.
12. Redemption of Cashback
12.1 Cashback Balance may be redeemed as:

stablecoin payouts (e.g. USDC);
-
other reward forms provided by Brighty.
12.2 Minimum redemption thresholds may apply.
12.3 Cashback does not constitute e-money, is not redeemable for cash unless permitted, and has no cash value until redeemed.
13. Liability & Disclaimers
13.1 Cashback rewards are promotional in nature and provided on an “as-is” basis.
13.2 Brighty does not guarantee:
-
the amount of cashback available;
-
merchant participation.
13.3 Brighty is not liable for:
-
merchant errors or cancellations;
-
changes in cashback eligibility by merchants;
-
system outages or delays caused by third parties.
13.4 To the maximum extent permitted by law, Brighty’s total liability under these Terms shall not exceed the total amount of cashback credited to you in the preceding 12 months.
14. Termination of User Participation
14.1 Brighty may terminate or suspend a user’s access to the Programme or to the Account if:

suspicious activity is detected;

AML/CTF requirements require it;
-
user account is closed or blocked;
-
misuse occurs under Section 7.
14.2 On termination, Brighty may cancel unredeemed cashback where permissible by law.
15. Governing Law & Jurisdiction
15.1 These Terms are governed by the laws of the Republic of Poland.
15.2 Any disputes shall be resolved by the competent courts of Warsaw, Poland, unless otherwise required by consumer protection laws.
